These Marketplace Terms of Use (this "Agreement") apply to your access or use of the GatheredHQ websites, mobile sites, and applications (collectively, the "GatheredHQ Sites") and the content, features, and services (the "Services") made available by Gathered Technologies LLC.
By accessing or using the Services or by clicking "accept" or "agree" to this Agreement, (1) you acknowledge that you have read, understand, and agree to be bound by this Agreement, and (2) you represent and warrant that you are of legal age and not prohibited by law from accessing or using the Services.
GatheredHQ may update or revise this Agreement from time to time. You agree to review this Agreement periodically. Continued use of the Services after any modification constitutes acceptance of the modified Agreement.
Part I – Reservation Services
1. Restaurant Reservations
GatheredHQ makes available restaurant reservation services ("Reservation Services") and waitlist services ("Waitlist Services") through the GatheredHQ Sites. In response to a user's online request for a restaurant reservation or to join a waitlist, GatheredHQ contacts the restaurant's computerized database of reservations and waitlists. Availability is determined at the time of your query based on information provided to GatheredHQ by the restaurant.
Once a reservation or waitlist request is made, GatheredHQ will provide confirmation to you by email or other electronic messages. By using the Reservation Services or Waitlist Services, you agree to receive reservation and waitlist confirmations, updates, modifications, and/or cancellations by email or other electronic messages.
2. No-Show Policy
GatheredHQ is committed to providing superior quality services. To maintain a consistently high level of service, users must cancel any reservations they are unable to honor at least 30 minutes in advance of the reservation. You may cancel via the GatheredHQ Sites or by calling the restaurant directly.
Some restaurants require a debit or credit card number to finalize your reservation. GatheredHQ may place a temporary authorization on your card to verify accuracy. If you are unable to keep your reservation and fail to cancel at least 30 minutes in advance, GatheredHQ will send you a no-show notification email. Your account will be suspended if you are a no-show for four reservations within a 12-month period.
If you wish to remove yourself from a waitlist, you can do so through the GatheredHQ Sites or by calling the restaurant. Failure to appear in a timely manner may result in removal from the waitlist.
3. Dining Rewards
Depending on your country of residency, you may be able to participate in GatheredHQ's rewards program ("GatheredHQ Dining Rewards"). Where applicable, participation is subject to the GatheredHQ Dining Rewards Terms and Conditions.
4. Usage Guidelines
You agree to use the Reservation Services or Waitlist Services only to book reservations or join waitlists at restaurants and to honor those reservations by arriving on time and ordering and paying for meals. You further agree not to book more than one reservation or join more than one waitlist for personal use during any one meal time.
Resale or attempted resale of reservations or waitlist spots is prohibited and is grounds for, among other things, cancellation of your reservations, removal from the waitlist, or termination of your access to the Services.
Part II – Payment and Other Services
5. Payment and Other Services
GatheredHQ may offer additional Services such as payment services ("Payment Services"), electronic and physical gift cards and gift certificates issued by GatheredHQ ("GatheredHQ Gift Cards"), and electronic gift cards issued by participating third-party restaurants ("Merchant Gift Cards").
Part III – Terms for All Services
6. Privacy Policy
GatheredHQ is committed to helping you safeguard your privacy online. Please review our Privacy Policy for details about how we collect, use, and disclose information in connection with the Services.
7. Your Account
You may (but are not required to) create an account with GatheredHQ in order to use the Reservation Services, Waitlist Services, or to purchase, gift, or redeem GatheredHQ Gift Cards and Merchant Gift Cards. However, you must have an Account in order to use the Payment Services.
When registering for an Account, you must provide true, accurate, current, and complete data. You are solely responsible for maintaining the confidentiality of your Account and are responsible for all use of your Account, whether or not authorized by you. You agree to immediately notify GatheredHQ of any unauthorized use of your Account or any other breach of security.
8. Communications from GatheredHQ
If you use our Sites and Services, GatheredHQ may communicate with you via electronic messages, including email, text message/SMS, or mobile push notifications in accordance with our Privacy Policy.
9. Technical Requirements
Use of the Services requires Internet access through your computer or mobile device. You are responsible for all mobile carrier data or text message charges resulting from your use of the Services. GatheredHQ does not guarantee that the Services will be compatible with all devices or supported by all mobile carriers.
10. Modifications to Services
GatheredHQ reserves the right, in its sole discretion, to modify the Services from time to time and without notice, including by removing, adding, or modifying portions of the GatheredHQ Sites, restaurants, and/or merchants. If you object to any such changes, your sole recourse shall be to cease using the Services. Continued use following any such changes indicates your acknowledgment of and satisfaction with all the Services.
11. Intellectual Property Rights
The features, information, and materials provided through the Services are protected by copyright, trademark, patent, and other intellectual property laws. All text, graphical content, video, data, and other content made available through the Services ("GatheredHQ Content") are provided solely to support your permitted use of the Services.
GatheredHQ and its partners or licensors retain all rights in the Services and GatheredHQ Content and any associated patents, trademarks, copyrights, trade secrets, or other intellectual property rights. No license, right, or interest in any trademarks of GatheredHQ or any third party is granted under this Agreement.
12. Use Restrictions
The Services and GatheredHQ Content are offered solely for your personal use for the purposes described in this Agreement. You may not:
- Copy, reproduce, distribute, or create derivative works of any GatheredHQ Content
- Use the Services for any unlawful purpose or in a manner that violates any applicable law
- Attempt to gain unauthorized access to any portion of the Services or related systems
- Use automated tools, scrapers, bots, or similar technologies without written permission
- Reverse engineer, decompile, or disassemble any software used in connection with the Services
- Use the Services to post, transmit, or distribute any defamatory, obscene, or otherwise unlawful content
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GATHEREDHQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GATHEREDHQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GATHEREDHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT SHALL GATHEREDHQ'S AGGREGATE LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID GATHEREDHQ IN THE PAST 12 MONTHS.
15. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the United Arab Emirates. Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration in Dubai, UAE, under the rules of the Dubai International Arbitration Centre (DIAC). You and GatheredHQ each waive the right to a trial by jury and the right to participate in any class or representative action.
16. General
This Agreement constitutes the entire agreement between you and GatheredHQ with respect to the Services and supersedes all prior agreements. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. GatheredHQ's failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
