Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Gathered platform, including our websites, mobile applications, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms. If you don't agree, don't use the Platform.

Gathered Technologies LLC ("Gathered," "we," "us," "our") operates the Platform. These Terms create a binding legal agreement between you and Gathered.

2. Who Can Use Gathered

Age Requirement: You must be at least 18 years old to use the Platform.

Account Creation: To access certain features, you must create an account. You represent that all information you provide is accurate and current. You're responsible for maintaining the confidentiality of your account credentials.

Account Security: You're responsible for all activity under your account. If you believe your account has been compromised, notify us immediately at support@gatheredhq.io.

3. Platform Overview

3.1 For Guests

Gathered enables you to:

  • Make table reservations at participating restaurants and venues ("Venues")
  • Join waitlists
  • View menus and order food
  • Make payments to Venues
  • Leave reviews and ratings
  • Browse and discover Venues

3.2 For Venues (Business Users)

Gathered provides operational tools including:

  • Reservation management
  • Menu creation and management
  • Payment processing
  • Marketing automation
  • Analytics and reporting
  • Customer relationship management

Venue access is governed by separate commercial agreements.

4. Reservation Services

4.1 Making Reservations

When you request a reservation through the Platform:

  • We connect your request to the Venue's system
  • Availability is determined in real-time
  • Confirmation is sent via email/SMS when accepted
  • The reservation is binding between you and the Venue

4.2 Reservation Requirements

To complete a reservation, you must provide: name and contact information, party size and preferred time, special requests or dietary requirements (optional), and credit card information (for certain Venues).

4.3 Credit Card Authorization

Some Venues require credit card information to secure reservations. By providing your card, you authorize temporary authorization to verify validity, charges for no-shows or late cancellations per Venue policy, and pre-payments when required by the Venue.

4.4 Venue Responsibility

Important: Reservations are made directly with Venues. Gathered facilitates the connection but the Venue controls availability, pricing, and policies; the Venue is responsible for service quality and food safety; disputes must be resolved with the Venue directly; and Gathered is not liable for Venue performance or policies.

5. Cancellation & No-Show Policy

5.1 Standard Cancellation

Unless otherwise stated by the Venue:

  • Cancel at least 2 hours before your reservation: No penalty
  • Cancel less than 2 hours before: Venue may charge cancellation fee
  • No-show: Full cancellation fee charged

5.2 How to Cancel

Cancel through: the Gathered mobile app or website, direct contact with the Venue, or the confirmation email link.

5.3 No-Show Consequences

Failure to appear without proper cancellation may result in a cancellation fee charged to your card, restriction on future bookings, and Venue discretion on future reservations. Your account will be suspended if you are a no-show for four reservations within a 12-month period.

5.4 Disputing No-Shows

If you received a no-show notice in error, contact the Venue directly within 48 hours.

6. Waitlist Services

When joining a waitlist: your position is determined by the Venue; estimated wait times are approximations; failing to appear when called may result in removal; and you can leave the waitlist anytime via the Platform.

7. Payment Services

7.1 Payment Processing

Gathered facilitates payments between you and Venues. When you make a payment, your payment information is processed securely, we share necessary information with payment processors (Stripe), we do not store your full credit card number, and charges appear on your statement as "GATHERED" or the Venue name.

7.2 Transaction Fees

We may charge processing fees for certain transactions. All fees are disclosed before you confirm payment.

7.3 Refunds

Refund eligibility depends on Venue cancellation policy, timing of your cancellation, and Venue-initiated cancellations. See our Cancellation & Refund Policy for details.

8. Reviews, Ratings & User Content

8.1 Submitting Content

You may submit restaurant reviews and ratings, photos and videos, and comments and recommendations. By submitting content, you grant Gathered a non-exclusive, perpetual, royalty-free license to use it, display, modify, and distribute it globally, and share it with Venues and third parties.

8.2 Content Standards

Your content must not be false, misleading, or defamatory; violate intellectual property rights; contain personal attacks or harassment; include spam or promotional material; or violate any laws or regulations.

8.3 Review Integrity

You may not review your own Venue or employer's Venue, review competitors, submit reviews in exchange for compensation, or use false identities.

8.4 Content Removal

We reserve the right to remove content that violates these Terms, contains inappropriate material, appears fraudulent or misleading, or is reported by Venues or users.

9. Artificial Intelligence

9.1 AI Features

Our Platform uses AI for menu generation and optimization, image and video creation, marketing content generation, personalized recommendations, and customer communication analysis.

9.2 AI Data Processing

When you use AI features, your inputs are processed to generate outputs, we may use interactions to improve our services, third-party AI services may be utilized, and we take measures to exclude personally identifiable information from third-party AI systems.

9.3 AI Content Disclaimer

AI-generated content is provided "as is." We make no guarantees about accuracy or completeness, suitability for your purpose, or compliance with specific requirements. You're responsible for reviewing and verifying all AI outputs before use.

10. Privacy & Data Protection

Your privacy matters. Our Privacy Policy (incorporated by reference) explains how we handle your data. Key points:

  • What we collect: Account details, reservation details, payment information, dining preferences, and device/usage data
  • How we use it: To provide services, personalize your experience, improve the Platform, and for security and compliance
  • Who we share it with: Venues you book with, payment processors (Stripe), service providers, and as required by law
  • Your rights: Access, correct, delete your data, opt out of marketing, and file complaints
  • Data retention: Active accounts kept as long as you use Gathered; transaction records for 7 years as required by law
  • Security: TLS/SSL encryption, PCI-DSS compliant payment processing, regular security audits

11. Intellectual Property

All Platform content and technology is owned by Gathered or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal purposes only. You may not copy, modify, reverse engineer, decompile, use for commercial purposes, or use automated tools (scrapers, bots) without permission.

12. Prohibited Conduct

You agree not to:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Transmit viruses or malicious code
  • Interfere with Platform operations
  • Impersonate others or provide false information
  • Make fraudulent reservations or payments
  • Resell reservations or accounts
  • Harass or abuse Venue staff
  • Use the Platform for unauthorized commercial purposes

13. Third-Party Services

The Platform integrates with third-party services including payment processors (Stripe), social media platforms, delivery services, POS systems, and marketing platforms. We may provide links to external websites. We don't control or endorse these sites, and they have their own terms and privacy policies.

14. Modifications to Platform and Terms

We may modify or discontinue features, update pricing or fees, change availability or functionality, and add or remove Venues. We're not liable for any modifications to the Platform.

We may update these Terms at any time. Changes are effective when posted. Material changes will be communicated via email, Platform notification, or prominent notice on our website. Continued use after changes constitutes acceptance.

15. Termination

You may terminate your account anytime using the account deletion feature or by emailing support@gatheredhq.io. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or as required by law. Upon termination, access ends immediately and we retain information as required by law or policy.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for particular purpose, non-infringement, and uninterrupted or error-free operation. We don't guarantee Venue availability or service quality, accuracy of information, security of transmissions, or availability of the Platform.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, we are not liable for Venue actions or services, food quality or safety, personal injury at Venues, lost profits, or indirect, consequential, or punitive damages. Our total liability is limited to the greater of $500 USD or amounts you paid us in the 12 months before the claim. These limitations are fundamental to our agreement.

18. Indemnification

You agree to indemnify and defend Gathered from claims arising from your use of the Platform, your violation of these Terms, your violation of others' rights, your content or conduct, and your reservations or interactions with Venues.

19. Dispute Resolution

These Terms are governed by UAE law. Disputes will be resolved through binding arbitration at the Dubai International Arbitration Centre (DIAC), not court, except for small claims, intellectual property disputes, and emergency relief requests.

Class Action Waiver: All disputes must be brought individually. No class actions or consolidated proceedings are permitted.

Before filing arbitration, you must send written notice to legal@gatheredhq.io, include claim details, and attempt good-faith resolution for 45 days. You may opt out of arbitration within 30 days by emailing legal@gatheredhq.io with your name, account email, and clear opt-out statement.

20. General Provisions

These Terms and referenced policies constitute the entire agreement. You can't transfer your account or rights. Invalid provisions are severed; the remainder stays in effect. Our failure to enforce a provision doesn't waive future enforcement.
